제1조 (목적)

본 약관은 씨플립(이하 "회사")이 제공하는 B2B AI 에이전트 커머스 솔루션 및 관련 제반 서비스(이하 "서비스")를 이용함에 있어, 회사와 서비스 이용자(이하 "회원") 간의 권리, 의무, 책임사항 및 기타 필요한 사항을 규정함을 목적으로 합니다.

제2조 (용어의 정의)

1. 서비스: 회사가 회원의 오프라인 매장 및 상품 데이터를 MCP(Model Context Protocol) 기술을 통해 연동하여, 엔드유저가 본인의 AI 앱(ChatGPT 등)에서 해당 매장의 정보를 확인하고 안내받을 수 있도록 하는 B2B SaaS 솔루션을 의미합니다.
2. 회원(판매자): 본 약관에 동의하고 회사와 이용계약을 체결하여, 회사가 제공하는 서비스를 구독 및 이용하는 사업자 또는 개인을 의미합니다.
3. 엔드유저(고객): 회원의 매장에 비치된 QR 코드를 스캔하여, 본인의 기기에 설치된 외부 AI 애플리케이션(ChatGPT 등)을 통해 회원의 상품 정보를 탐색하고 안내받는 최종 소비자를 의미합니다.

제3조 (서비스의 제공 및 변경)

1. 회사는 회원에게 상품 정보 연동을 위한 시스템, QR 코드 생성, MCP 서버 호스팅 인프라를 제공합니다.
2. 회사는 기술적 사양의 변경, 외부 AI 플랫폼(OpenAI 등)의 정책 변화 등이 발생할 경우 서비스의 내용을 변경할 수 있으며, 이 경우 변경 사항을 사전에 공지합니다.

제4조 (이용요금 및 결제)

1. 본 서비스는 정기 구독형 SaaS(Software as a Service)로 제공되며, 회원은 회사가 정한 요금제(예: Basic 연 50만 원 등)에 따라 이용요금을 선납해야 합니다.
2. 요금제의 구체적인 내용, 결제 방식, 환불 규정 등은 회사의 서비스 안내 페이지에 별도로 명시된 정책을 따릅니다.
3. 기한 내에 구독료가 결제되지 않을 경우, 회사는 사전 통지 후 서비스 제공을 중단할 수 있습니다.

제5조 (회원의 의무)

1. 회원은 서비스에 연동하는 상품 정보(가격, 재고, 스펙, 주의사항 등)를 항상 최신 상태로, 정확하게 유지해야 합니다.
2. 회원은 타인의 지식재산권을 침해하거나 관련 법령을 위반하는 데이터를 연동해서는 안 됩니다.
3. 서비스는 상품의 탐색 및 맞춤형 추천을 지원하는 솔루션이므로, 엔드유저와의 실제 상품 판매, 결제, 배송, 환불 및 고객 응대(CS)에 대한 최종적인 법적 책임은 회원에게 있습니다.

제6조 (회사의 의무 및 권리)

1. 회사는 관련 법령과 본 약관이 금지하는 행위를 하지 않으며, 안정적인 서비스 제공을 위해 최선을 다합니다.
2. 회사는 서비스 개선 및 성능 고도화를 위해 회원이 연동한 비식별화된 메타데이터 및 탐색 데이터를 분석하여 통계 자료로 활용할 수 있습니다.

제7조 (면책 조항)

1. 서드파티 플랫폼 종속성: 본 서비스는 엔드유저의 기기에 설치된 외부 AI 애플리케이션(OpenAI의 ChatGPT 등)을 매개로 작동합니다. 외부 AI 플랫폼의 서버 장애, 정책 변경, API 연결 차단 등으로 인해 서비스 이용이 제한되는 경우 회사는 책임을 지지 않습니다.
2. AI 할루시네이션(환각): 인공지능 기술의 본질적인 특성상, 회원이 제공한 정확한 데이터에도 불구하고 AI가 부정확하거나 왜곡된 답변(할루시네이션)을 생성할 가능성이 있습니다. 이로 인해 발생한 오안내 및 영업 손실에 대해 회사는 법적 책임을 지지 않습니다.
3. 데이터의 정확성: 회원이 부정확한 상품 정보나 재고 데이터를 입력하여 엔드유저와 분쟁이 발생한 경우, 회사는 개입할 의무가 없으며 어떠한 책임도 지지 않습니다.
4. 회사는 천재지변, 디도스(DDoS) 공격, 기간통신사업자의 회선 장애 등 불가항력적 사유로 서비스를 제공할 수 없는 경우 책임이 면제됩니다.

제8조 (계약의 해지 및 환불)

1. 회원은 언제든지 서비스 구독 해지를 요청할 수 있으며, 해지 시점 및 남은 구독 기간에 따른 환불은 회사의 환불 규정에 따릅니다.
2. 회원이 제5조(회원의 의무)를 중대하게 위반한 경우, 회사는 즉시 계약을 해지하고 서비스 이용을 차단할 수 있습니다.

제9조 (관할법원 및 준거법)

회사와 회원 간에 발생한 분쟁에 대하여는 대한민국 법을 준거법으로 하며, 소송이 제기될 경우 민사소송법에 따른 관할법원을 제1심 관할법원으로 합니다.
